These Terms of Service (“Terms”) form a binding agreement between you (“you”, “Customer”) and Market Anyware Co., Ltd. (“MarketDX”, “we”, “us”) governing your access to and use of the MarketDX website, API, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind it.
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your API Keys confidential. Notify us immediately of any unauthorised use. You must be at least 18 and capable of forming a binding contract. You are responsible for compliance with all laws applicable to your use, including export controls and sanctions.

We may apply technical limits and monitor usage to protect the Service and other customers.
Access is provided under the plan you select. Each plan includes a credit allowance; API calls consume credits as described in our documentation (for example, the news feed is charged per article returned, while taxonomy and lookup calls are charged at a flat rate). Unless stated otherwise, credit allowances do not roll over between periods.
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. You authorise us to charge your payment method for all fees. Fees are exclusive of taxes, which you are responsible for. Plans renew automatically until cancelled.
You may cancel at any time, effective at the end of the current billing period. Except where required by law, fees are non-refundable and partial periods are not pro-rated. We may change pricing on prospective notice.
Subject to these Terms and your active plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the API and use the Output for your internal business purposes (and, on a redistribution plan, to redistribute Output solely as that plan permits). We reserve all rights not expressly granted. The Output is provided for the term of your subscription; on termination, the licence ends and you must stop using and, where applicable, delete stored Output, except as required for your legal recordkeeping.
The Service, including its software, taxonomy, compilation of data, and trademarks, is owned by MarketDX or its licensors and protected by law. Feedback you provide may be used by us without restriction or obligation to you.
The Service provides data and analytical signals for informational purposes only. It does not constitute investment, financial, legal, tax, or other professional advice, and is not a recommendation, offer, or solicitation to buy or sell any security or financial instrument.
Output — including directions, aspects, relevance scores, classifications, and reasons — is generated in part by automated and machine-learning systems and may contain errors, omissions, or inaccuracies, and may be derived from third-party sources. You are solely responsible for your own investment decisions and should conduct your own research and consult qualified professionals. Past performance and any backtested or illustrative figures are not indicative of future results.
The Service and Output are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Output is accurate or complete or that the Service will meet your requirements.
To the maximum extent permitted by law, MarketDX and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, trading losses, or goodwill, arising out of or relating to the Service or Output. Our total aggregate liability for any claim arising out of or relating to these Terms will not exceed the amounts you paid to us for the Service in the 12 months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You will indemnify and hold harmless MarketDX from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Output use, or your breach of these Terms or of applicable law.
We may suspend or terminate your access immediately if you breach these Terms, if required for security or legal reasons, or for non-payment. You may terminate by closing your account. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnification) will survive.
We may modify the Service or these Terms. For material changes to the Terms, we will provide reasonable notice (e.g. by updating the “Last updated” date and, where appropriate, additional notice). Your continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of Thailand, without regard to conflict-of-laws rules. The courts located in Bangkok, Thailand will have exclusive jurisdiction, except that either party may seek injunctive relief where available. If any provision is held unenforceable, the remaining provisions remain in effect.
