Hejin Investment plans up to 300 million yuan private placement to controlling shareholder Jiuzhou Hengchang for working capital and debt repayment

Hejin Investment has disclosed its 2026 share issuance plan to specific investors, proposing a non-public offering of up to 50.8 million A-shares to its controlling shareholder, Jiuzhou Hengchang Logistics, raising total proceeds of no more than 300 million yuan. After deducting issuance expenses, all funds will be used to replenish working capital and repay bank loans. Shares subscribed by Jiuzhou Hengchang will be subject to an 18-month lock-up period from the completion of the issuance. The offering will not result in a change of control of the company and remains subject to approval by the shareholders' meeting, as well as review and registration by the Shenzhen Stock Exchange and the China Securities Regulatory Commission. As of March 31, 2026, Hejin Investment had total assets of 485 million yuan, total liabilities of 282 million yuan, a consolidated debt-to-asset ratio of 58.17 percent, and net assets attributable to the parent company of 199 million yuan. Net profit attributable to the parent company for 2023, 2024, and 2025 was 5.8162 million yuan, 11.6779 million yuan, and 7.5717 million yuan, respectively.
