Bains de Mer Monaco Calls Ordinary and Extraordinary General Meetings for September 18, 2026
Société Anonyme des Bains de Mer et du Cercle des Etrangers à Monaco has issued a notice convening its Ordinary and Extraordinary General Meetings on Friday, September 18, 2026, at the Monte-Carlo Bay Hotel & Resort. The Ordinary General Meeting, starting at 9:30 a.m., will vote on approving the 2025/2026 annual and consolidated accounts, which show a profit of 104,465,543.47 euros, and on a dividend of 2 euros per share payable from October 8, 2026. Shareholders will also decide on renewing the mandate of director Stéphane Valeri, appointing statutory auditors including Anne-Marie Felden and Claude Boeri as full auditors, and authorizing a share buyback program of up to 5% of capital with a maximum price of 170 euros per share and a total budget of 60 million euros over 18 months. The Extraordinary General Meeting, to be held immediately after the ordinary session, will vote on extending the company's duration by 99 years and amending several articles of the bylaws. The record date for participation is ten days before the meetings, and the deadline for postal voting is September 16, 2026.
