Sai MicroElectronics controlling shareholder plans to transfer 4.4027 million shares to Peng Hairong via agreement

Sai MicroElectronics announced that its controlling shareholder Weitu Investment has signed a Share Transfer Agreement with Peng Hairong, planning to transfer 4.4027 million unrestricted tradable shares of the company to Peng Hairong through an agreement transfer, representing 5.1111% of the total share capital of the listed company. The transfer price is 89.88 yuan per share, with a total consideration of 396 million yuan. This agreement transfer is a targeted reduction by Weitu Investment's limited partner Wuyuefeng Investment and its concert parties Beijing Yihe and Shanghai Lingguan. The aforementioned targeted reduction entities are early-stage investors of the company, and the fund has now entered a normal exit phase. Peng Hairong is the controlling shareholder and actual controller of Pengbang Industrial, a shareholder holding more than 5% of the company. After the completion of this agreement transfer, Peng Hairong and Pengbang Industrial will constitute concert parties.
