Monte dei Paschi makes simultaneous takeover offers worth about 34 billion euros for Banco BPM and Banca Generali

Monte dei Paschi di Siena, one of Italy's largest banks, has made simultaneous all-share takeover offers worth about 34 billion euros for rival Banco BPM and private bank Banca Generali. The move is aimed at fending off a hostile bid launched in June by Intesa Sanpaolo, the country's biggest bank. Monte dei Paschi would issue 1.567 new shares for each Banco BPM share and 6.958 new shares for each Banca Generali share, valuing the two targets at about 25.3 billion euros and 8.7 billion euros respectively. As part of the transaction, Monte dei Paschi is also proposing a special dividend to shareholders worth a total of 4 billion euros. If both deals are completed, they would create Italy's third-largest banking group by assets, with a pro forma balance sheet of about 466 billion euros and total financial assets exceeding 810 billion euros, and estimated annual pre-tax synergies of about 2.6 billion euros. The offers require shareholder and regulatory approval and are expected to be completed by mid-February 2027.

Intesa Sanpaolo slashes BlackRock Bitcoin ETF stake by 94% while tripling Ethereum ETF holding

Intesa Sanpaolo, Italy's largest banking group, cut its position in BlackRock's iShares Bitcoin Trust by 93.7% last quarter while tripling its stake in the iShares Staked Ethereum Trust ETF, according to its latest Form 13F filing. The bank reported 40,723 IBIT shares worth $1.36 million as of June 30, down from 646,809 shares three months earlier, and its call position shrank 99.3% from an underlying 2.5 million shares to just 18,000. A new put position covering 500,000 IBIT shares also appeared, suggesting a defensive stance on Bitcoin. Meanwhile, the iShares Staked Ethereum Trust holding jumped from 116,200 shares to 349,600, worth $7.1 million, while the Bitwise Solana Staking ETF position collapsed from 2,817 shares to seven. The bank still holds 3.47 million shares of the ARK 21Shares Bitcoin ETF worth $67.6 million, its largest crypto ETF position, and left its $14.4 million Grayscale XRP Trust position untouched. The shift adds to evidence that some institutions now favor yield-bearing Ethereum funds over Bitcoin products, with trading giant Jane Street also cutting its IBIT common stock position by 71% in the first quarter while nearly doubling its iShares Ethereum Trust stake.

Intesa Sanpaolo completes cloud migration of core banking systems to Google Cloud

Italy's biggest bank Intesa Sanpaolo has completed the cloud migration of its core IT systems, joining a small group of European banks that have moved away from legacy mainframe technology. The shift, part of a multi-billion-euro cloud transition project, relied on two Italian Google Cloud regions in Turin and Milan hosted by TIM's data centres. More than 800 applications were migrated to Google Cloud infrastructure, and an equal number were decommissioned within the bank's physical headquarters. The bank had previously launched cloud-based digital bank Isybank in 2023 as a testing ground for the full cloud shift. Intesa now joins a handful of European peers that have pursued large-scale cloud migration, including Danske Bank, Lloyds, HSBC, Santander, and BBVA.
