KTC spends 295 million baht to buy 100% of WIN, bringing debt collection business into the group
Krungthai Card Public Company Limited, or KTC, has closed a deal to buy 100% of Win Performance Company Limited, or WIN, for 295 million baht, making WIN a subsidiary and bringing it into the Krungthai financial business group. The move is intended to support cost management plans and generate revenue from future strategic cooperation. Mr. Peerapong Pitpiboonpathit, Chief Executive Officer of KTC, informed the Stock Exchange of Thailand that on 25 August 2026, the company purchased 10 million ordinary shares of WIN, representing 100% of the company, at 29.50 baht per share, for a total of 295 million baht, paid in cash. After the transaction, WIN will become a subsidiary of KTC and a company within the financial business group of Krung Thai Bank Public Company Limited, with permission from the Bank of Thailand. WIN operates a debt collection business, including legal operations and related support services. The purpose of the share acquisition is to support the strategic plan for managing operating costs and to generate revenue through strategic cooperation between KTC and companies in the bank's financial business group in the future. WIN has registered capital of 100 million baht, divided into 10 million ordinary shares with a par value of 10 baht per share. Before the transaction, there were five shareholders: Siam Sport Television Company Limited held 70%, Brookton Capital Limited held 18%, S and K Service 2019 Company Limited held 5%, Mr. Pornlert Benjakul held 5%, and Glisten Intertrade Company Limited held 2%, before KTC took a 100% stake after the transaction. Following the transaction, WIN's board of directors will have four members: Mr. Peerapong Pitpiboonpathit, Mr. Pornlert Benjakul, Mr. Asimon Waenduongden, and Mr. Raiwin Worawongsatit. The acquisition of WIN shares qualifies as a significant transaction, with the highest transaction size at 2.28% based on the net profit criterion calculated from KTC's consolidated financial statements as of 30 June 2026. However, the transaction size does not reach the threshold requiring information disclosure or shareholder approval under relevant regulations, and it is not classified as a connected transaction. Nevertheless, KTC is required to report the acquisition of a subsidiary to the Stock Exchange of Thailand because this investment results in WIN becoming a subsidiary of KTC.
