Lexington Gold agrees to sell GAR unit to GoldOz
Lexington Gold has signed a binding agreement to sell its wholly-owned subsidiary Global Asset Resources to GoldOz. Through GAR, Lexington Gold holds a 51% stake in three North Carolina gold projects covering about 1,326 acres in the Carolina Slate Belt. The deal includes an upfront payment of A$25,000, a further A$325,000 upon completion, and 25.5 million new GoldOz shares representing roughly 36.7% of GoldOz's post-relisting capital on the ASX, plus a 1% net smelter royalty. Completion is subject to conditions including GoldOz's seed capital raise, ASX approvals, and GoldOz's relisting. Lexington Gold said the transaction allows shareholders to realize value from its US portfolio while retaining upside exposure, and it will refocus on South African assets including the Jelani JV Project with a JORC resource of about 6.02 million ounces of gold.
