Maisons du Monde shareholders overwhelmingly approved the resolutions relating to the restructuring transactions contemplated by the conciliation agreement at the combined general meeting on 27 July 2026. Shareholders representing 73.519% of the company's share capital were present or represented. The approved resolutions include the delegation of authority to the Board of Directors to decide on a capital increase reserved for a consortium of new investors comprising Alteri Investors and Eicos Investment Group, as well as the appointment of Alteri Investors and Eicos Investment Group as directors subject to the completion of the reserved capital increase. The resolution relating to capital increases reserved for employees was not approved.

Maisons du Monde agrees comprehensive refinancing with Alteri and Eicos consortium

Maisons du Monde has signed a conciliation agreement with a consortium of new investors, Alteri Investors and Eicos Investment Group, and its banks to carry out a comprehensive financial restructuring. The consortium will inject €45.7 million, comprising €33 million in new bond financing and at least €12.7 million to buy out non-participating bank receivables, while participating banks will reinstate €40.8 million of existing debt and provide €15 million in new letter-of-credit and guarantee commitments. The consortium will also acquire €210.8 million of existing bank debt at 7 cents on the euro from non-participating banks and for a nominal €1 from participating banks, then equitize it via a reserved capital increase at €0.28 per share, a 36% discount to the June 15 closing price. Upon completion, the consortium would hold approximately 95.2% of the share capital, massively diluting existing shareholders to at most 4.78%, and has obtained a waiver from the AMF for a mandatory takeover bid. The restructuring remains subject to court approval by the Specialized Commercial Court of Nantes and other conditions, and if not completed by September 15, 2026, the company would be forced into insolvency proceedings likely resulting in a total loss for shareholders. The group also reported a full-year 2025 net loss of €406 million, driven by about €350 million in non-cash asset impairments, and first-quarter 2026 like-for-like sales down 2.8%.
