Eli Lilly has entered into a definitive agreement to acquire clinical-stage biotech AtaiBeckley for an initial upfront payment of $2.8 billion. Under the deal, Lilly will pay AtaiBeckley shareholders $6.75 per share in cash upon closing, with the potential for an additional $2.50 per share through contingent value rights if specified development and regulatory milestones for the BPL-003 and VLS-01 programs are achieved, which could increase the total deal value by up to $1.0 billion. The acquisition is driven by AtaiBeckley's pipeline of novel psychedelic therapies for mental health disorders, including lead asset BPL-003, an intranasal formulation of mebufotenin benzoate in Phase III for treatment-resistant depression that has received FDA Breakthrough Therapy designation. The transaction, expected to close in the third quarter of 2026, is part of Lilly's broader 2026 acquisition spree totaling more than $20 billion in biotech deals to diversify beyond GLP-1 therapies.
