HIVE Digital Technologies announced a $100 million private offering of 0% exchangeable senior notes due 2031, alongside a letter of intent to lease its 32-megawatt Boden, Sweden facility to an investment-grade Swedish technology company for up to 10 years. The notes will not bear regular interest and the principal will not accrete, with exchanges settled via cash, common shares, or a combination. Initial purchasers have an option to buy up to an additional $15 million in notes, and the company expects to enter capped call transactions. Net proceeds will fund subsidiaries, while the Swedish facility, currently housing about 130,000 GPUs, will be retrofitted to support up to 10,000 GB300 GPUs with hybrid liquid and air cooling. HIVE shares fell 2.66% to $4.03 in pre-market trading.
