Ipsen SAIpsen acquires Memo Therapeutics for up to $800M, adding a promising Phase II asset.

Ipsen agreed to acquire Swiss biotech Memo Therapeutics for an upfront payment of 200 million euros, with additional milestone-based payments that could bring the total above 700 million euros, or roughly 800 million dollars. The deal centers on potravitug, a Phase II monoclonal antibody targeting BK polyomavirus-associated nephropathy in kidney transplant patients, a condition with no approved targeted therapies. At closing, expected before the end of the third quarter, Ipsen will pay 200 million euros on a cash-and-debt-free basis, with the remainder tied to development, regulatory, and commercial milestones. Potravitug holds FDA fast-track and EU orphan drug designations, and Phase II trial results showed 24.4% of treated patients achieved undetectable viral levels by week 38 versus 13.0% for placebo, with no treatment-related serious adverse events. Ipsen plans to start a pivotal Phase II/III study later this year, while Memo Therapeutics' other assets will be spun into a new entity called Memorises Bio owned by existing shareholders. This is Ipsen's second acquisition this week, following its deal to acquire Kartos Therapeutics for up to 1.3 billion dollars in milestone payments.
