SDIC Fengle Completes Transfer of 60% Equity Stake in SDIC Jinzhong

SDIC Fengle Seed Industry Company Limited announced that the transfer of the underlying assets for its acquisition of a 60% equity stake in SDIC Zhangye Jinzhong Technology Company Limited has been completed, and SDIC Jinzhong has become a controlling subsidiary of the company. The company has paid 50% of the equity transfer consideration to the transferor, SDIC Seed Industry, amounting to 16.8824 million yuan. The transaction was approved by the board of directors on June 25, 2026, and approved by the extraordinary general meeting of shareholders on July 14. SDIC Jinzhong has a registered capital of 500 million yuan, was established in November 2024, and is mainly engaged in the production and operation of crop seeds. The company stated that the remaining transaction price still needs to be paid, and the relevant parties will continue to fulfill their agreement commitments.

The company also plans to transfer a 51 percent stake in its subsidiary Fengle Agrochemical through public listing, and to acquire a 60 percent stake in SDIC Zhangye Golden Seed Technology Company held by SDIC Seed Industry.

SDIC Fengle expects first-half loss of up to 33 million yuan as fertilizer and fragrance profits decline

SDIC Fengle has issued its 2026 first-half performance forecast, projecting a net loss attributable to the parent of 28 million to 33 million yuan, compared with a loss of 28.03 million yuan in the same period last year. The company said profits from its seed and agrochemical businesses increased year on year, but profits from the fertilizer business fell due to lower gross margins on concentrate powder, and profits from the fragrance business declined because of higher depreciation at the new plant. The previously disclosed first-quarter report showed a net loss attributable to the parent of 16.75 million yuan, widening from the same period a year earlier.
