Scienjoy Holding Corporation announced that its wholly-owned subsidiary, Scienjoy Innovation Labs Inc., has agreed to acquire a 29.9% equity stake in Leader Education Limited for HK$102.69 million, approximately $13.1 million. The deal involves the purchase of 239.23 million ordinary shares from Leader Education's controlling shareholder, Shuren Education Limited. The transaction is classified as a related-party transaction because Scienjoy's independent director, Jun Lu, also serves as an executive director of Leader Education. Completion is subject to customary conditions, including due diligence, regulatory waivers, and the continued listing of Leader Education on the Hong Kong Stock Exchange, with settlement expected within five business days after conditions are met. Scienjoy's chairman and CEO, Victor He, highlighted the potential of combining AI technology with education to create new applications and experiences for schools, teachers, and students.
