Bone Biologics enters into definitive agreement for $3.0M private placement

Bone Biologics has entered into a definitive agreement with a single healthcare-focused institutional investor for an at-the-market private placement expected to yield $3.0 million in initial gross proceeds. The transaction involves the sale of 2.11 million shares of common stock, or pre-funded warrants in lieu thereof, at a purchase price of $1.42 per share. It also includes equal tranches of accompanying five-year Series F warrants and 18-month Series G warrants to purchase up to an aggregate of 4.23 million additional shares at an exercise price of $1.42 per share. If the warrants are fully exercised on a cash basis following required shareholder approvals, the company could secure up to an additional $6.0 million in gross proceeds. The private placement is scheduled to close on or about July 9, 2026, and the net proceeds will fund ongoing clinical trials, maintain and extend the patent portfolio, and support working capital and general corporate requirements.
