Kustom Entertainment to Divest Video Solutions Segment to Cycurion for Up to $5.5 Million

Kustom Entertainment has entered a binding agreement to sell its legacy video solutions division to Cycurion, completing its pivot to a pure-play live entertainment company. The deal provides up to $5.5 million in total consideration, comprising $1.25 million in upfront cash and a $4.25 million secured promissory note payable over 36 months at 7% interest, plus 2 million warrants to purchase Cycurion common stock. The divestiture, expected to close in July 2026, follows the earlier sale of Kustom's medical billing business and a multi-year partnership with Gilley's Park City, which will nearly double capacity for the Country Stampede Music Festival to 35,000 attendees starting in 2027. CEO Stanton Ross said the transaction sharpens the company's focus on live events and ticketing as it targets a $100 billion global addressable market.
