WAN Fund Management Calls GROREIT Meeting on 28 October, Proposes Sale of Royal Orchid Hotel and Trust Dissolution

WAN Fund Management Company Limited, or WAN, in its capacity as manager of the Grand Royal Orchid Hospitality Real Estate Investment Trust, or GROREIT, is preparing to convene a meeting of unitholders on 28 October 2026 to consider the sale of the trust's principal asset, the Royal Orchid Sheraton Hotel and Towers project, ahead of entering the trust dissolution and liquidation process. The board of WAN resolved at its meeting on 14 September 2026 to call the meeting and set 29 September 2026 as the record date for unitholders entitled to attend. Unitholders will consider three options for the asset sale. The first option is a sale to Royal Orchid Hotel (Thailand) Public Company Limited, or ROH, at a price of 4.873 billion baht. ROH confirmed its right and readiness to buy back the asset on 14 August 2026, after failing to complete the buyback by the 14 July 2026 deadline. Although WAN and MFC Asset Management Public Company Limited, or MFC, as trustee, jointly agree that ROH's buyback right under the contract has expired, they still deem it appropriate to put the proposal to the meeting. The second option is an offer from Orchid Hospitality Company Limited, which on 4 September 2026 proposed to buy the asset for 5.3 billion baht, 427 million baht higher than ROH's offer. This option would be used if unitholders do not approve the sale to ROH, or if ROH cannot proceed under the specified conditions and timeframe. As for the third option, if neither of the first two is approved or can be carried out, GROREIT will seek unitholder approval to put the asset up for auction, along with a general mandate authorising WAN to conduct the auction and sell the asset. In addition, the 28 October meeting will consider approving the dissolution of the trust, the liquidation, and the appointment of a liquidator. A portion of funds will be set aside to cover liquidation expenses and any litigation costs before proceeding with the next steps of the trust dissolution.

GROREIT in talks with Government Savings Bank to extend debt repayment of 1.35 billion baht

GROREIT trust is in negotiations with the Government Savings Bank to extend its debt repayment period after Royal Orchid Hotel (Thailand) or ROH did not repurchase the hotel as per the contract on July 14, 2026, resulting in GROREIT being unable to repay the principal of 1.35 billion baht on schedule. The trust has requested the bank to maintain the original interest rate but extend the repayment period, and expects a conclusion soon. If the bank approves, the Stock Exchange of Thailand may remove the CB sign and allow trading to resume. Although trading is currently suspended, operations remain normal and there is sufficient liquidity to cover interest payments for about one year. Meanwhile, GROREIT has revalued its assets without the repurchase condition, with the Royal Orchid Sheraton Bangkok valued at 5.21 billion baht. Additionally, Wann Asset Management and MFC Asset Management are in discussions with the SEC to protect unitholder interests.

ROH Confirms Right to Repurchase Hotel Not Expired After Extending GRAND Debt and Signing New Fund of 4.873 Billion Baht

Royal Orchid Hotel (Thailand) Public Company Limited, or ROH, has clarified to the Securities and Exchange Commission regarding the debt extension granted to GRAND and confirmed that its right to repurchase the property of the Royal Orchid Sheraton Riverside Hotel Bangkok has not expired. The ROH board has resolved to extend the repayment period of a 4 billion baht loan to GRAND, its 97% major shareholder, by another two years, as GRAND faces liquidity issues and accelerating debt enforcement would not secure funds in time for the repurchase deadline of July 14, 2026. Meanwhile, ROH stated that sending an authorized representative to the land office on that date was to clarify objections and reserve rights, after MFC, as trustee, adjusted the payment method via BAHTNET, which did not comply with the agreement. Most recently, on August 14, 2026, ROH signed a preliminary agreement with a new financial partner, an experienced fund, to support capital for the property repurchase, and has sent letters to MFC and Wann Asset Management to confirm readiness to exercise the repurchase right at a price of 4.873 billion baht. The hotel continues to operate normally.

GROREIT schedules unitholder briefing for September 1 after seeking extension on Government Savings Bank debt repayment

Grand Royal Orchid Hospitality Real Estate Investment Trust, or GROREIT, will hold a public presentation online on September 1, 2026 at 11:15 a.m. to explain information and remediation plans after requesting an extension of the repayment period and a waiver of loan covenant conditions for a 1.35 billion baht credit facility from Government Savings Bank, which matured on July 14, 2026. The loan was used to invest in assets of the Royal Orchid Sheraton Hotel and Towers project. This follows Royal Orchid Hotel (Thailand) Public Company Limited, or ROH, not exercising its right to repurchase the hotel assets at 4.873 billion baht by the deadline, causing ROH's repurchase right to lapse and requiring the trust to seek an extension of the debt repayment period. On the same day, ROH sent a letter to MFC Asset Management Public Company Limited, as trustee, and One Asset Management Limited, as REIT manager, to confirm its ability to exercise the right to repurchase the hotel assets at 4.873 billion baht, with financial support from a financial partner.

ROH confirms readiness to buy back Royal Orchid Sheraton for 4.873 billion baht

Royal Orchid Hotel Thailand, or ROH, has reported progress on buying back the Royal Orchid Sheraton Riverside Bangkok from the GROREIT trust for 4.873 billion baht. On 14 August 2026, the company sent letters to MFC Asset Management as trustee and One Asset Management as REIT manager to confirm its ability to exercise the asset buyback right, after receiving financial support from a partner. However, that support remains subject to due diligence, relevant approvals, and the signing of further agreements. The company confirmed the hotel is still operating normally, the buyback negotiations do not affect the business, and it has sufficient liquidity for operations. It is also in the process of fixing its free-float distribution to meet Stock Exchange of Thailand requirements. Previously, One Asset Management said ROH's buyback right expired under the contract on 14 July 2026, and MFC Asset Management demanded the asset be returned within 30 days, otherwise it would proceed with legal action and an auction of the property.
