Onconetix, Inc. has provided a strategic bridge financing facility of up to $5,000,000 to Realbotix LLC, the target of its pending acquisition, with an initial advance of $2,500,000. The facility is non-interest bearing prior to closing of the Share Exchange Agreement between the two companies announced on February 12, 2026, and upon closing the facility and all obligations under it will be automatically cancelled and discharged in full. The cash required at closing will be reduced by the total principal advanced under the facility plus an additional $500,000, and if the Share Exchange Agreement is terminated, interest accrues at 12% per annum from the date of termination. Onconetix entered the Share Exchange Agreement to acquire 100% of the issued and outstanding equity interests of Realbotix LLC in an all-stock transaction, and the combined company is expected to trade on Nasdaq following closing, subject to Onconetix shareholder approval, required regulatory approvals, and other closing conditions. Realbotix has launched Optio, its AI-powered teacher's assistant, in a pilot program at Salamanca City Central School District on the Seneca Nation Reservation in New York, alongside the deployment of a Realbotix M-Series humanoid robot. The initial Optio deployment will support high school students in Woz ED AI and Robotics courses, with the pilot expected to expand to approximately 500 high school students in fall 2026. Optio provides personalized avatars trained in district curriculum, offering 24/7 homework support, concept reinforcement, and individual tutoring across multiple languages, with education-specific safety guardrails and full district oversight. Onconetix, which recently entered into a definitive agreement to acquire Realbotix LLC in an all-stock transaction, highlighted the launch as the combined company anticipates trading on Nasdaq following the deal's expected close in the second half of 2026.
