ATIF Holdings to acquire GoldCoin Labs in $20 million all-share deal

ATIF Holdings Limited has entered into a definitive agreement to acquire GoldCoin Labs Limited in an all-share transaction valued at $20 million. ATIF will issue 2,815,005 ordinary shares to GoldCoin's sole shareholder, with the consideration determined by a five-day volume-weighted average price mechanism. The deal, which follows the expiration of a non-binding letter of intent with GoldCoin's indirect parent Metra Group, is intended to advance ATIF's strategy in tokenized real-world assets and gold-backed digital infrastructure. GoldCoin is developing Metra Gold, a tokenized digital representation of physical gold where each token is intended to represent one gram of fine gold backed on a 1:1 basis. Completion remains subject to customary closing conditions, including regulatory approvals and Nasdaq listing authorization for the consideration shares.
