argenx has signed a definitive agreement to acquire Forte Biosciences for approximately $2.2 billion in total equity value. The deal, approved by both boards, is expected to close in the third quarter of 2026 and will add Forte's first-in-class anti-CD122 antibody FB102 to argenx's immunology portfolio. argenx will launch a cash tender offer for all outstanding Forte shares at $77 per share, an 86% premium to the volume-weighted average price since positive Phase Ib vitiligo data were announced on July 9. The transaction will be funded entirely from argenx's cash on hand and is not subject to financing conditions. Forte expects to release Phase II data for FB102 in the second half of this year.
