Andersen prices 4.28M share secondary offering at $44

Andersen Group announced the pricing of an underwritten public secondary offering of 4.28 million shares of Class A common stock by certain selling stockholders at $44.00 per share. Gross proceeds to the selling stockholders are expected to total approximately $188.5 million before expenses. Andersen Group is not selling any shares and will receive no proceeds from the transaction. Selling stockholders granted underwriters a 30-day option to buy up to an additional 642,668 shares. The offering is scheduled to close on or about August 21, 2026.

Andersen Group to acquire Andersen Mexico and five US consulting firms

Andersen Group has agreed to acquire Andersen Mexico, a tax and legal advisory business, along with five US-based Andersen Consulting firms. The acquisition of Andersen Mexico is intended to broaden Andersen's presence in one of North America's key markets and bolster its capacity to support multinational corporations with integrated tax, legal and business advisory services. The five other firms acquired are Clareo, BD Emerson, Daniels Consulting Group, Endeavor Management and Zenger Folkman, expanding Andersen Consulting's capabilities across disciplines including AI and digital transformation, strategy, innovation and growth, enterprise and finance transformation, cybersecurity, and human capital and organisational transformation. The transactions are expected to add about $34.5 million in annualised revenue, bringing total annualised revenue from acquisitions announced since Andersen's first-quarter update to approximately $67 million. The deals are expected to close in the fourth quarter of 2026, and Andersen Consulting now includes over 37,000 professionals globally.
