Faraday Future Regains Nasdaq Equity Compliance, Robot Sales Reach 552 Units

Faraday Future Intelligent Electric Inc. said it believes it has regained compliance with the Nasdaq Capital Market's Equity Standard as of July 31, 2026, and has maintained compliance through the date of its latest Current Financial Report. The company's Total Stockholders' Equity had fallen to $1.412 million as of June 30, 2026, below the $2.5 million minimum required by Nasdaq Listing Rule 5550(b)(1). During July and August 2026, FF reduced notes payable by approximately $10.0 million based on a preliminary fair valuation of the instrument as of June 30, 2026, lowered its derivative call option liability by approximately $5.8 million, and cut accounts payable and accrued liabilities by approximately $15.3 million, primarily through a $13.5 million reduction in employee-related liabilities and a $2.5 million cleanup of legacy vendor accounts payable. The company said its EAI robot cumulative sales and shipments reached 552 units by August end since deliveries began in February, with positive product gross margin, as it works toward its full-year target of 2,000 units. Nasdaq will continue to monitor the company's ongoing compliance, and final third-quarter 2026 financial results remain subject to auditor review and will be disclosed in the company's Form 10-Q for Q3 2026.

Faraday Future pivots to robots after EV bid fails

Faraday Future, the El Segundo electric vehicle maker, is pivoting to humanoid robots after its multibillion-dollar bid to become the next Tesla failed. The company, which sold only 16 FF 91 EVs from 2023 to 2025, has seen its share price tumble more than 99% from 2021 peaks and had to perform a reverse stock split in July to avoid being delisted from the Nasdaq stock market. Faraday Future Cancels All Incremental Warrants from March 2025 Financing

Faraday Future Intelligent Electric Inc. announced that it has entered into Incremental Warrant Termination Agreements with each investor from its March 2025 convertible note financing, cancelling all 21,021,369 outstanding Incremental Warrants issued in the 1st to 3rd closings. The cancellation permanently removes the potential dilution from their future exercise, which could have resulted in approximately 45% of potential maximum dilution based on the current $5.00 conversion floor price. Combined with the August 20, 2026 amendment that eliminated future warrant obligations, all common and incremental warrants under the March 2025 SPA are now fully cancelled, reducing potential dilution by approximately 57.48% on a fully diluted basis. The company expects these actions to directly reduce the approximately $5.794 million in fair-value-measured liabilities disclosed in its second-quarter financial results, improving its balance sheet and capital structure.
